Welcome to Vigil Insight. By accessing or using our platform, you agree to these Terms of Service (“Terms”). If you do not agree, do not use our services.

1. Eligibility and Authority

You must be a business or an authorized representative of a business to use our platform. By using Vigil Insight, you confirm you are at least 18 years old and have the authority to accept these Terms on behalf of your organization. You are responsible for ensuring your organization's use of the Service complies with all local, national, and international laws, regulations, and sanction regimes applicable to your business.

2. Services and Scope

Vigil Insight provides automated sanctions, reputational, and regulatory risk analysis for companies, suppliers, and partners using proprietary algorithms and third-party data feeds. The platform allows businesses to screen, monitor, and analyze counterparties in cross-border trade.

Disclaimer: The Service relies on data from public records, governmental sanction lists, and licensed third-party data sources. Vigil Insight is not liable for the timeliness, accuracy, or completeness of data obtained from these external sources.

3. User Obligations and Prohibitions

You agree to provide accurate information about your organization and its authorized users. You will not use the platform for illegal purposes or to circumvent sanctions, regulations, or laws. You may not attempt to reverse engineer, conduct unauthorized data harvesting or scraping, or disrupt the platform.

4. Intellectual Property

All content, data, algorithms, AI models, and software provided by Vigil Insight are owned by Vigil Insight or its licensors. Users receive a limited, non-exclusive, non-transferable license to access and use the platform strictly in accordance with these Terms and solely for internal business purposes.

5. Privacy and Data Use

We process data provided by you or sourced from public or licensed datasets to deliver risk scores and insights. Please review our Privacy Policy for details on how we collect, store, and use your data, including adherence to the GDPR (General Data Protection Regulation) and other relevant data protection laws.

6. Limitations of Liability

Vigil Insight makes reasonable efforts to provide accurate risk analysis but does not guarantee correctness or completeness of the output.

You expressly acknowledge that the platform's output constitutes informational risk intelligence only, and is not legal, tax, or professional compliance advice.

You retain sole responsibility for all business decisions, regulatory compliance actions, and due diligence based on the Service's output. Vigil Insight is not liable for any losses, damages, fines, or decisions made based on the platform’s output. In no event shall our total liability exceed the fees paid by you for the Service in the twelve (12) months preceding the claim.

7. Subscription and Payments

Fees, billing cycles, and trial limits will be defined in your separate subscription agreement. Non-payment or misuse may result in suspension or termination of access.

8. Termination

We may suspend or terminate accounts that violate these Terms or applicable laws. Users may terminate their accounts at any time, subject to payment obligations defined in the subscription agreement.

9. Indemnification

You agree to indemnify and hold Vigil Insight harmless from any claims, damages, liabilities, and legal costs arising from your misuse of the platform or violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located within Wyoming, and the parties hereby consent to the personal jurisdiction of such courts.

11. Changes to Terms

Vigil Insight may update these Terms from time to time. Updated Terms will be posted on the platform and take effect immediately upon posting.
